1. Introduction

1.1 Agreement to Terms

Welcome to Sikhona, a platform owned and operated by Sikhona, Inc., a Delaware corporation headquartered in the United States (“Sikhona,” “Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the Sikhona website, mobile applications, services, content, software, communication tools, livestreaming services, digital marketplaces, monetization systems, and all related products and services (collectively, the “Platform”). By accessing or using Sikhona, you agree to be legally bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

1.2 Platform Purpose

Sikhona is a community-based social and communications platform designed to allow users, creators, organizations, retailers, athletes, actors, politicians, ministries, influencers, businesses, and communities to communicate directly with their audiences, livestream, upload content, monetize interactions, sell products and services, and engage in digital communications through audio, video, text, and other forms of interaction.

2. Eligibility and Account Registration

2.1 Age Requirements

You represent and warrant that you are at least 18 years old or that you are using the Platform under the supervision and consent of a parent or legal guardian. If you are under the age required by applicable law in your jurisdiction to independently consent to digital services, your parent or legal guardian must review and agree to these Terms on your behalf.

2.2 Account Information

By creating an account, you agree to provide accurate, current, and complete information and to maintain and promptly update your information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.

2.3 Account Suspension and Termination

Sikhona reserves the right to suspend, restrict, or terminate any account that contains false, misleading, fraudulent, or incomplete information or violates these Terms.

3. User Conduct

3.1 Lawful Use

Users agree to use the Platform only for lawful purposes and in accordance with all applicable local, state, federal, and international laws and regulations.

3.2 Prohibited Conduct

Users may not upload, post, distribute, transmit, or otherwise make available content that is unlawful, defamatory, threatening, harassing, hateful, violent, discriminatory, fraudulent, obscene, sexually exploitative, infringing, invasive of privacy, misleading, or otherwise objectionable.

3.3 Platform Abuse

Users may not engage in spam, phishing, impersonation, unauthorized advertising, scams, malicious software distribution, automated account creation, data scraping, unauthorized access attempts, or any activity intended to interfere with or disrupt the operation, integrity, or security of the Platform.

4. Content and Intellectual Property

4.1 User Content Ownership

Sikhona provides users with the ability to upload, create, publish, transmit, livestream, distribute, and monetize content including but not limited to videos, audio recordings, livestreams, text posts, photographs, digital products, virtual gifts, advertisements, merchandise, educational materials, and other forms of media (“User Content”). Users retain ownership rights to their User Content.

4.2 License to Sikhona

By uploading or publishing content on Sikhona, users grant Sikhona, Inc. a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, reproduce, distribute, modify, adapt, publicly display, publicly perform, market, promote, analyze, and otherwise use such content in connection with operating, improving, promoting, and providing the Platform.

4.3 Community Relationship

Users acknowledge and agree that audiences, subscribers, followers, supporters, and community members interacting through Sikhona may also be considered part of Sikhona’s overall platform community and ecosystem.

4.4 Intellectual Property Rights

All trademarks, logos, service marks, software, graphics, interfaces, workflows, platform designs, business methods, and intellectual property associated with Sikhona are owned by Sikhona, Inc. or its licensors and are protected by intellectual property laws.

4.5 Restrictions on Use

Users may not copy, reverse engineer, decompile, redistribute, reproduce, modify, exploit, or commercially use any portion of the Platform, software, trademarks, branding, design elements, technology, databases, systems, or proprietary information without prior written consent from Sikhona.

5. Monetization and Transactions

5.1 Revenue Generation Features

Sikhona allows users to monetize content and interactions through livestreams, subscriptions, gifts, tips, digital products, physical products, video calls, audio calls, conferences, and other monetized features.

5.2 Platform Fees

Users who generate revenue through Sikhona agree that Sikhona shall receive a percentage of certain transactions, sales, subscriptions, livestream payments, gifts, tips, advertising revenue, marketplace sales, or other monetized activity occurring through the Platform.

5.3 Payment Processing

Users acknowledge that payment processors, financial institutions, app stores, telecommunications providers, livestreaming infrastructure providers, cloud providers, and third-party vendors may be involved in delivering portions of the Platform’s services.

5.4 No Earnings Guarantee

Sikhona does not guarantee any minimum level of earnings, audience reach, monetization success, profitability, visibility, traffic, sponsorships, sales, donations, tips, subscriptions, engagement, or financial performance.

6. Livestreaming and Communications

6.1 Communication Features

Sikhona may provide livestreaming, audio calls, video calls, direct messaging, conferencing, and private communications features.

6.2 Communication Risks

Users acknowledge that internet-based communications may not always be secure or uninterrupted and that Sikhona does not guarantee uninterrupted availability, flawless performance, or complete security of communications.

6.3 Compliance Obligations

Users are solely responsible for complying with all applicable laws regarding recordings, consent requirements, disclosures, advertising laws, campaign laws, fundraising laws, consumer protection laws, securities laws, copyright laws, privacy laws, and other legal obligations arising from their use of the Platform.

7. Political and Organizational Use

7.1 Political Compliance

Political organizations, campaigns, candidates, advocacy groups, public officials, and politically affiliated users are solely responsible for complying with all campaign finance, election, advertising, disclosure, and political communication laws applicable within their jurisdictions.

7.2 Prohibited Activities

Users are prohibited from using the Platform to organize, encourage, facilitate, or promote violence, terrorism, criminal activity, election interference, unlawful harassment, fraud, exploitation, or illegal conduct of any kind.

8. Artificial Intelligence and Moderation

8.1 AI Systems

Sikhona may utilize artificial intelligence, automated moderation systems, analytics tools, recommendation systems, fraud prevention technologies, content analysis systems, and operational algorithms for security, moderation, business intelligence, user safety, platform functionality, and operational purposes.

8.2 Disclosure Requirements

Users agree that certain content categories, including but not limited to medical, legal, financial, educational, political, and AI-generated content, may require additional disclosures, warnings, labeling, or restrictions as determined by Sikhona.

9. Platform Rights and Enforcement

9.1 Monitoring Rights

Sikhona reserves the right, but not the obligation, to monitor content, livestreams, communications, and user activity for compliance with these Terms, legal requirements, platform integrity, safety, and operational purposes.

9.2 Content Removal

Sikhona may remove content, suspend accounts, limit features, restrict access, or terminate users at its sole discretion.

9.3 Platform Modifications

Sikhona reserves the right to modify, suspend, discontinue, restrict, or remove any feature, service, monetization program, communication tool, livestream capability, subscription model, or aspect of the Platform at any time and without prior notice.

10. Disclaimers

10.1 User Content Disclaimer

Users acknowledge that the internet contains content that may be offensive, inaccurate, misleading, controversial, harmful, politically sensitive, emotionally upsetting, or inappropriate. Sikhona does not endorse user-generated content and is not responsible for opinions, statements, advice, content accuracy, or user conduct.

10.2 No Warranty

To the maximum extent permitted by applicable law, the Platform and all services are provided on an “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS” basis without warranties of any kind, whether express or implied.

11. Limitation of Liability

11.1 Limitation of Damages

To the fullest extent permitted by law, Sikhona, Inc., its officers, employees, contractors, consultants, advisors, directors, shareholders, board members, volunteers, affiliates, licensors, vendors, strategic partners, successors, assigns, and agents shall not be liable for any indirect, incidental, consequential, exemplary, punitive, special, or speculative damages.

11.2 Waiver of Litigation Rights

Users of Sikhona agree, to the fullest extent permitted by applicable law, to waive certain rights to bring suit, litigation, claims, or legal proceedings against Sikhona, Inc., its officers, employees, contractors, consultants, advisors, board members, vendors, volunteers, affiliates, and partners arising from or related to use of the Platform. Nothing in these Terms shall limit or waive rights that cannot legally be waived under applicable law.

11.3 Arbitration Agreement

Users further agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall, where legally enforceable, be resolved through binding arbitration on an individual basis and not through jury trials or class actions, except where prohibited by law.

12. Indemnification

12.1 User Indemnification

To the fullest extent permitted by law, users agree to indemnify, defend, and hold harmless Sikhona, Inc., its officers, employees, contractors, consultants, advisors, directors, affiliates, licensors, vendors, volunteers, partners, successors, and agents from and against any claims, liabilities, damages, losses, costs, judgments, penalties, fines, settlements, expenses, or attorneys’ fees arising from or related to user conduct, User Content, monetization activity, transactions, violations of law, intellectual property claims, misuse of the Platform, or breaches of these Terms.

13. Communications and Notifications

13.1 Electronic Communications Consent

Users consent to receive communications from Sikhona electronically, including emails, SMS messages, push notifications, phone calls, automated notifications, platform alerts, announcements, marketing communications, and operational messages.

13.2 Carrier Charges

Standard carrier rates and messaging fees may apply.

14. Taxes and Financial Responsibilities

14.1 User Tax Obligations

Users are responsible for all taxes, duties, fees, reporting obligations, and governmental assessments associated with earnings, monetization, sales, gifts, donations, or transactions conducted through Sikhona.

15. Privacy and Legal Compliance

15.1 Information Collection

Sikhona may collect, process, analyze, store, and use technical, behavioral, transactional, communication, and usage information consistent with its Privacy Policy.

15.2 Cooperation with Authorities

Sikhona reserves the right to cooperate with law enforcement agencies, regulators, courts, and governmental authorities and may disclose information where required by law, subpoena, court order, or legal process.

16. Governing Law

16.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

16.2 Jurisdiction

Any legal action permitted to proceed outside arbitration shall be brought exclusively in the appropriate state or federal courts located in Delaware, unless otherwise required by applicable law.

17. General Provisions

17.1 Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.

17.2 No Waiver

Failure by Sikhona to enforce any provision of these Terms shall not constitute a waiver of any right or provision.

17.3 Entire Agreement

These Terms, together with any additional policies, guidelines, monetization terms, community standards, creator agreements, payment policies, or other legal notices published by Sikhona, constitute the complete agreement between users and Sikhona regarding the Platform.

17.4 Changes to Terms

Sikhona reserves the right to modify, amend, or update these Terms at any time. Continued use of the Platform after updates become effective constitutes acceptance of the revised Terms.

17.5 Termination of Use

If you do not agree to these Terms, you must discontinue use of the Platform immediately.
